IU McKinney Team Takes First Runner-Up in Transactional Negotiation LawMeet

The IU McKinney team comprised of 3Ls Dan McGregor and Austin Paulus, and 2L Clarissa Walstrom placed first runner-up in the 2018 Transactional Negotiation LawMeet on February 23. The team also won an award for best contract draft. Northwestern Pritzker School of Law hosted the negotiation rounds for the Midwest region. Law schools around the Midwest and beyond participated. In the competition, the IU McKinney team represented a Beijing-based private equity investment firm interested in acquiring a Delaware corporation that provides process control software worldwide. The case raised complex negotiation and contract drafting issues related to break-up fees; reverse break-up fees; Committee on Foreign Investment in the United States review and approval; equity consideration; purchase price adjustments; holdback escrow; post-closing management; indemnification baskets, carve-outs, and caps; and international arbitration. The competition judges, partners at Chicago firms specializing in mergers and acquisitions, were complimentary of the IU McKinney team’s performance in the rounds. Judges expressed particular appreciation of IU McKinney's exceptional negotiating skills and depth of understanding of these complex issues.
